If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

Muse Studio is an AI-powered creative platform that enables users to generate, edit, and transform creative content including images, audio, video, and text. Our Services may include:

  • AI-powered content generation and editing tools
  • Collaboration and project management features
  • Asset libraries and template galleries
  • API access for developers and enterprise integrations
  • Analytics and performance dashboards

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes that may affect your use of the Services.

User Accounts

Registration

To access certain features of the Services, you must create an account. When registering, you agree to:

  • Maintain and promptly update your account information

Account Responsibility

Intellectual Property

Our Intellectual Property

The Services, including all software, algorithms, models, designs, text, graphics, logos, and other content provided by Muse (collectively, "Muse Content"), are owned by or licensed to Muse ML, Inc. and are protected by copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Muse Content, or reverse-engineer or attempt to extract the source code of our software, unless expressly permitted by these Terms or with our prior written consent.

Your Content

You retain ownership of the content you create using our Services ("User Content"), subject to the following:

  • License Grant: By uploading or creating User Content through the Services, you grant Muse a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely as necessary to provide and improve the Services.
  • Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights and permissions to use, upload, and create such content.
  • No Claim: Muse does not claim ownership of your User Content. Upon termination of your account, we will delete your User Content in accordance with our data retention policies.

AI-Generated Content

Content generated by our AI tools based on your prompts and inputs is considered User Content. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and does not infringe on the rights of others.

Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, upload, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Create content that infringes on any patent, trademark, copyright, or other proprietary right
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Attempt to gain unauthorized access to the Services, other user accounts, or any systems or networks connected to the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Services without our express written permission
  • Use the Services to develop competing AI models or services without prior authorization
  • Circumvent any rate limits, usage quotas, or technical restrictions imposed by the Services
  • Generate content that exploits, harms, or endangers minors in any way

We reserve the right to remove any content and suspend or terminate accounts that violate these provisions.

Fees and Payment

Subscription Plans

Certain features of the Services require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all applicable fees.

Refunds

Fees are generally non-refundable except as required by law or as expressly stated in a separate agreement. If you cancel a subscription, you will continue to have access until the end of your current billing period.

Price Changes

We may change our subscription fees at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Disclaimer of Warranties: The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Limitation of Damages: In no event shall Muse ML, Inc., its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Services.
  • Cap on Liability: Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Muse ML, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your User Content
  • Any activity under your account, whether authorized by you or not

Third-Party Services

The Services may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by Muse. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

Termination

By You

You may terminate your account at any time by contacting us at support@museml.com or through your account settings. Upon termination, your right to use the Services will cease immediately.

By Us

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Effect of Termination

Upon termination:

  • All licenses granted to you under these Terms will immediately cease
  • You must discontinue all use of the Services
  • We may delete your account data and User Content after a reasonable retention period
  • Any provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms.

General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Muse regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or infrastructure failures.
